VEED API Terms

TERMS LAST UPDATED: OCTOBER 2026

PLEASE READ THESE API TERMS CAREFULLY AS THEY GOVERN USE OF THE VEED API. BY ACCESSING OR USING THE VEED API, YOU AGREE TO COMPLY WITH AND BE BOUND BY THESE API TERMS.

1. About these API Terms

1.1 These API Terms govern your access to and use of the VEED application programming interfaces, software development kits ("SDKs"), playgrounds, API dashboard and Documentation (together, the "API"). They are provided by VEED Limited ("we", "us" or "our"). By creating an API Account, buying Credits or using the API, you accept and are bound by these API Terms.

1.2 References in these API Terms to "you" or "your" are to the commercial user of the API (being the company, organisation, firm or individual that accesses or uses the API, or on whose behalf the API is accessed or used, in each case acting for purposes relating to its trade, business, craft or profession and not as a consumer). The API is not available to consumers.

1.3 These API Terms form part of your agreement with us, in addition to the Order Form, our Terms of Use and all other terms referred to therein (together, the "Agreement").

1.4 For the purposes of the Terms of Use, references to "our Applications" include the API. Our Terms of Sale do not apply to the API.

1.5 To the extent of any conflict, the following order of priority applies (highest first):

(a) the Order Form;

(b) the VEED Data Processing Agreement where we process personal data on your behalf;

(c) these API Terms;

(d) the Terms of Use; and

(e) the remainder of the Agreement.

2. Definitions

Save as expressly set out in these API Terms, capitalized terms shall have the same meaning as set out in the Order Form or Terms of Use (as applicable).

"API Account" means your account for using the API.

"API Key" means any key, token or other credential used to access the API.

"Code of Conduct" means the VEED Code of Conduct currently available at: https://support.veed.io/en/articles/6981576-veed-code-of-conduct.

"Credits" means the prepaid balance on your API Account that you use to pay for access to and use of the API.

"Customer Application" means any product, service or workflow of yours that uses the API or any Model.

"Documentation" means our API documentation, model pages and related documentation, pricing pages and help centre articles about the API, as updated from time to time.

"End User" means anyone, other than you, who uses a Customer Application.

"Input" means any content, prompts, data or other information you or your End Users directly or indirectly upload or send to the API.

"Model" means any AI model, endpoint or feature available through the API, including those provided by third parties.

"Output" means any content the API returns to you in response to Input.

3. Your API Account and API Keys

3.1 Your API Account. API Accounts are currently separate from VEED editor accounts, and API usage is paid for with Credits. VEED subscriptions or VEED editor AI credits are not eligible for use with the API or your API Account.

3.2 Your responsibility. You must give us accurate account information. You are responsible for all activity under your API Account and API Keys.

3.3 API Keys. You must keep your API Keys secure and confidential. If you think an API Key has been compromised, revoke it and immediately tell us at [email protected]. We may revoke an API Key at any time if we reasonably believe it to have been compromised or misused.

4. Using the API

4.1 Your licence. Subject to the Agreement, we grant you a non-exclusive, non-transferable, revocable licence to use the API and access Models to build and run Customer Applications and to make them available to End Users, in line with the Documentation.

4.2 Your use. Your access to and use of the API and any Model and/or Customer Applications via the API must at all times be in accordance with all applicable laws and the Code of Conduct.

4.3 Limits. The API is subject to rate limits and other usage limits, such as maximum file size or duration. We may change these limits from time to time. You must not try to get around them. If you need higher limits, contact us.

4.4 Restrictions. You must not, and must not permit or help anyone else to:

(a) resell or give third parties direct access to the API or your API Keys, other than End Users using your Customer Application;

(b) reverse engineer the API or any Model, or try to derive, extract or reconstruct its model weights, source code or training data, except to the extent such restriction is prohibited by applicable law;

(c) use Output to develop AI models that compete with any Models or Applications;

(d) bypass or interfere with any of our security, safety or content moderation systems, usage limits, or any provenance markings we may apply to Output; or

(e) use the API, Models or Applications in breach of applicable sanctions or export control laws.

4.5 Content moderation. We reserve the right to use automated and other systems to check Input and Output. Input that we deem may breach the Agreement can be rejected.

4.6 Ownership. We and/or our licensors own all intellectual property rights in the API, the Models, the SDKs, the API dashboard, the Documentation and all related software and technology. Except for the licence expressly granted in clause 4.1, these API Terms grant you no rights in any of the foregoing. For clarity, nothing in clause 6.1 transfers to you any rights in or to the API or the Models.

5. Your End Users

5.1 You are responsible for your Customer Applications and for your End Users' access to and use of the API and Models through them.

5.2 You must give End Users and other relevant third parties any notices, and obtain any consents, that the law requires for us to process their Input as envisaged in the Agreement.

5.3 If in our reasonable opinion, any act or omission of an End User would, if such act or omission had been committed by you, constitute a breach of the Agreement, we may ask you to suspend their access. If you don't, we may suspend your access to the API.

5.4 You shall ensure that all End Users are at least eighteen (18) years old.

6. Input, Output and your data

6.1 Ownership. As between you and us, you are the owner of your Input and Output, subject to any third party rights therein.

6.2 Using your content to provide the API. You grant us and our service providers a worldwide, non-exclusive, royalty-free licence to use, store, process and transmit your Input and Output to provide, maintain, secure and support the API, Models and Applications, to prevent abuse and to comply with the law. For Input you submit through the API, this clause 6 replaces clause 11 of the Terms of Use ("Using your content to provide the Services").

6.3 Improving our services. We will not use your Input or Output to train our Models. We may create and use data derived from your use of the API that has been de-identified, anonymised or aggregated so that it does not identify you, your End Users or any other person, to operate, improve and develop our products and services.

6.4 Your responsibilities for content. You warrant and represent that you have all the rights, licences and consents needed to submit your Input and for us and our service providers to use it for the purposes envisaged in the Agreement. This includes, but is not limited to, explicit consent from anyone whose face, likeness or voice is identifiable in Input. You must not use the API for any purpose or to create any content that may breach the Code of Conduct. Further, you shall not and shall procure that End Users shall not remove any watermark, notice or other marking from any Output.

6.5 Storage and retention. We store the Input and response of each API call for a limited period. Output files are available to download for a limited period after completion of the API call. Please refer to the Documentation for further information, including retention periods and how to opt out of storage. We always keep basic usage details (such as time, Model, status, duration and cost) for administrative purposes such as usage, billing, security and abuse prevention. The API is not a storage service, so download your Output and securely store your own copies.

6.6 Data protection. Our Privacy Policy explains how we process personal data. Where you send us personal data to process on your behalf, you are the controller and we are your processor, and we shall process such personal data in accordance with the VEED Data Processing Agreement. Our sub-processors are available at https://trust.veed.io.

6.7 AI Output. Output is generated by AI and may be inaccurate or unexpected, and similar output may be generated for others using the Models (and you have no rights in respect of such output). You agree to review all Output before using it and you are solely responsible for all use of Output and any third party claims or allegations relating to Output.

6.8 You shall not use any Output in connection with any machine learning, artificial intelligence, algorithm development, or model training (including but not limited to model fine-tuning, distillation, transfer learning, or any other form) or in connection with any building, improving, validating or iterating of artificial intelligence models, weights or algorithms. If you breach this clause 6.8, we shall have the right to terminate this Agreement immediately on written notice to you and you shall immediately cease using the Output for model training, delete any collected Output, and compensate us for all losses incurred, including but not limited to reputational damage, model asset depreciation losses, and costs incurred in protecting our rights.

7. Credits and payment

7.1 Prepaid Credits. You pay for the API in advance by buying Credits. Each request is charged at the price for the relevant Model on our pricing pages and deducted from your Credits. If you don't have enough Credits, requests may be rejected.

7.2 Top-ups. You can add Credits at any time. If you turn on automatic top-up, you authorise us to charge your payment method the amount you choose each time your balance falls below the threshold you set, until you turn it off in your API dashboard.

7.3 Expiry. Credits expire two (2) years after the date of purchase. Promotional Credits may expire sooner, and we will tell you if this is the case when we issue them.

7.4 No refunds. Except as set out in clause 11.4, or where required by applicable law, Credits are non-refundable, have no cash value and cannot be transferred.

7.5 Failed jobs. We do not charge for a failed API call (as determined by our systems).

7.6 Prices and taxes. We may change our prices by updating our pricing pages at any time. Prices exclude VAT and other applicable taxes, which are payable by you.

7.7 Payments are handled by our third-party payment provider. If a payment is reversed or charged back, we may remove the related Credits and suspend your API Account.

8. Changes to Models and features

8.1 We may add, change, replace or retire Models, endpoints, API versions and features at any time.

8.2 Where reasonably practicable, we will give you at least 30 days' notice before retiring a generally available Model or making a change that breaks backwards compatibility. You can use your Credits on other available Models.

8.3 Features labelled "beta", "preview" or similar are provided strictly on an "as is" basis and may change or be withdrawn at any time without notice.

9. Third-party Models

9.1 Some Models are provided by or with the support of third parties, and we may send your Input to them to process your requests. We may change the providers behind any Model at any time.

9.2 Any extra terms that apply to a particular Model will be set out in the Documentation.

10. Availability and support

10.1 We do not guarantee or warrant that the API or any Model will be available, uninterrupted or error-free, or that API calls will be completed within any particular time. We do not offer a service level agreement. See also the "Accessing our Applications" section in the Terms of Use.

10.2 Help is available in our Help Centre and at [email protected].

11. Suspension and termination

11.1 You can stop using the API at any time, and you can close your API Account by contacting us.

11.2 We may suspend or limit your access to the API at any time if you run out of Credits or if we reasonably believe that you or your End Users have breached the Agreement, that your (or an End User's) use is fraudulent or creates a security, legal or safety risk or harms the API or other users, that a payment is fraudulent or has been reversed, or that we are required to do so by law or to prevent us from violating any law. Where reasonably practicable, we will tell you why.

11.3 If you breach any of these API Terms or other terms of the Agreement and, where capable of remedy, you fail to remedy such breach within seven (7) days of our request, we may immediately revoke your access to the API and close your API Account.

11.4 Notwithstanding the foregoing, we reserve the right to close your API Account at any time, or stop offering the API altogether on 30 days' notice to you. In such circumstances, we will refund your unused Credits.

11.5 This Agreement shall automatically terminate upon closure of your API Account.

11.6 Clauses 4.4, 4.6, 6.1, 6.3, 6.8, 7.4 and 12 to 17 (inclusive), and any others that by their nature should continue or come into force after termination of this Agreement, shall continue to apply after termination or expiry of this Agreement.

12. Confidentiality and feedback

12.1 You must keep the API Keys, Documentation and any other non-public information we give you about the API and our business, products and services confidential. We will only use and disclose your Input and Output as described in the Agreement or as required by law.

12.2 If you provide any feedback or suggestions, we may use them for any purpose without any obligation to you.

13. Disclaimers

To the maximum extent permitted by law, we expressly exclude all warranties, representations, conditions and other terms that may be implied by law, custom or otherwise including, but not limited to, any warranties or conditions as to merchantability, availability, satisfactory quality, fitness for a particular purpose or that the API, Applications or Output will meet your requirements or be error free.

14. Indemnity

You shall indemnify and keep us and our affiliates indemnified against any claims, losses, liabilities, penalties, damages and costs (including reasonable legal and professional fees) arising out of or in connection with:

(a) any claim or allegation that Input infringes or breaches the rights of any third party (including, without limitation, in respect of data protection, privacy and intellectual property);

(b) your Customer Applications;

(c) the acts or omissions of End Users;

(d) any violation of the Code of Conduct by you or End Users;

(e) any claim or allegation that Output violates any applicable law or standards of good practice, or infringes or breaches the rights of any third party (including, without limitation, in respect of data protection, privacy and intellectual property).

15. Limitation of liability

15.1 Nothing in these API Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

15.2 Subject to clause 15.1:

(a) we shall have no liability to you, whether in contract, tort (including, without limitation, negligence), breach of statutory duty or otherwise, for any loss of profits; loss of revenue, business or anticipated savings; loss of goodwill; loss or corruption of data; wasted expenditure; or any special, indirect or consequential loss; and

(b) our total liability arising out of or in connection with your access to and/or use of the API (including, without limitation, use of any Models through the API) shall not exceed the lower of: (i) the total amounts you have paid to us in the twelve (12) months before the event giving rise to the claim; and (ii) $100,000 (one hundred thousand US Dollars).

16. Changes to these API Terms

We may amend these API Terms from time to time and will update the date at the top of this page. We will try to notify you of material changes by email or in your API dashboard before they take effect. Continued use of the API after a change takes effect shall constitute your acceptance of such updated API Terms.

17. General

17.1 This Agreement is governed by English law and you irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

17.2 This Agreement is not enforceable by any third party to them (including, without limitation, any End User).

17.3 Subject to clause 16 above, no modification to this Agreement shall be effective unless in writing and signed by an authorised representative.

17.4 We are not responsible for delays or failures caused by events outside our reasonable control or failures of third-party providers.

17.5 The Agreement (together with any Enterprise Agreement) is the entire agreement between you and us regarding access to the API and use of services and Applications through the API. You acknowledge that, in entering into the Agreement, you do not rely on, and shall have no remedy in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not expressly set out in the Agreement, and that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any such statement. Nothing in this clause limits or excludes any liability for fraud or fraudulent misrepresentation.

17.6 If any provision (or part of a provision) of the Agreement is or becomes invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, deleted; the rest of the Agreement remains in full force and effect.
